The A-Tech Corporation provides artificial intelligence solutions, software development, consulting services, and technology products including but not limited to:

• Custom AI development and implementation
• AI infrastructure solutions and consulting
• Software products (A-Coder IDE, The Architect)
• Technical training and workshops
• Robotics and hardware solutions

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information for project requirements
• Maintain appropriate infrastructure for AI solutions
• Ensure data compliance within your organization
• Provide timely feedback and approvals during development
• Make payments as agreed in project contracts

4. Intellectual Property

Our IP: All proprietary technology, software, methodologies, and intellectual property developed by The A-Tech Corporation remain our exclusive property unless otherwise specified in writing.

Client IP: You retain all rights to your existing intellectual property and data. Custom solutions developed for you may be subject to licensing agreements.

Open Source: Our open-source products are available under their respective licenses as specified in their documentation.

5. Payment Terms

Payment terms are specified in individual project agreements. Generally:

• 50% deposit required to begin work
• Progress payments based on milestones
• Final payment upon project completion and delivery
• Late payments subject to 1.5% monthly interest

All prices are quoted in the currency specified in the agreement and exclude applicable taxes.

6. Confidentiality

Both parties agree to maintain confidentiality of:

• Technical specifications and implementations
• Business strategies and proprietary information
• Client data and project details
• Pricing and financial information

This confidentiality obligation survives the termination of any agreement between the parties.

7. Limitation of Liability

The A-Tech Corporation shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

Our total liability for any claim arising from or relating to our services shall not exceed the amount paid for the specific service giving rise to the claim.

8. Service Level and Warranties

We warrant that our services will be performed in a professional manner and that delivered software will conform to agreed specifications.

We do not warrant that:

• The software will be error-free or uninterrupted
• The software will meet your specific business requirements
• AI models will produce perfect results in all scenarios

9. Termination

Either party may terminate the agreement with written notice:

• Client: 30 days notice for convenience
• The A-Tech Corporation: 15 days notice for cause
• Immediate termination for material breach

Upon termination, client agrees to pay for all work completed up to the termination date.

10. Data Protection

We comply with applicable data protection laws and regulations. Our Privacy Policy outlines how we collect, use, and protect your personal information. By using our services, you consent to the collection and use of information as described in our Privacy Policy.

11. Dispute Resolution

Any disputes arising from these terms shall be resolved through:

1. Good faith negotiations between parties
2. Mediation by a neutral third party
3. Arbitration under applicable laws

This agreement shall be governed by the laws of the jurisdiction specified in your service agreement.

12. Amendments

We reserve the right to amend these terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of any amendments.
